JOB DESCRIPTION

Qualifications

  • University degree in law from a reputable university.
  • Excellent knowledge and understanding of law on land and housing, foreign investment, enterprise, etc.
  • Minimum 6-year experience as an in-house legal counsel in a multinational corporation or an associate in a law-firm.
  • Having rich experience in real estate industry and direct involvement in handling sales/lease contracts for residential and office building projects or develop legal models that support the assessment and underly valuation of acquisition opportunities are an advantage.

 Key Responsibilities

A. Project Legal:

  1. Carry out land and project legal due diligence.
  2. Participate in the feasibility of potential/pipeline projects, establishment of land-holding structure and review legal documents relating to property development and formation of new project companies.
  3. Research and provide legal advice on relevant legal matters with respect to real estate and housing, investment, land law, etc.
  4. Manage regulatory matters including governmental filings, licenses and approvals of the project companies and real estate development projects.

B. Mergers and Acquisitions:

  1. Participate in fundraising and M&A activities i.e. negotiating and drafting term sheet, information memorandum, legal advice, due diligence and drafting definitive transaction agreements.
  2. Prepare and provide legal due diligence report for transactions.
  3. Work closely with the management, finance and business development teams on project matters.
  4. Work closely with the business team, relevant departments, law firms and consultants to involve in and manage all M&A transactions from legal perspective including due diligence exercise, legal advice and deal structuring, drafting of transactional documents (term sheet, memorandum, corporation agreement, sales and purchase agreement, joint venture agreement, charter, etc.), establishment of special purpose vehicles and closing and post-closing arrangement.
  5. Negotiate, review and draft transactional agreements and documents.

C. Contracts:

  1. Review all contracts/agreements and other documentation where the Company has committed itself and assess legal implications that need to be brought to the executive management’s attention;
  2. Prepare, review and modify contractual instruments to assist and support various business activities;
  3. Negotiate, review and draft documentation for business transactions and prepare and advise on the necessary checklist to be adopted to ensure information is submitted on time.
